Course Description
This course will provide an introduction to the Canadian legal system with emphasis on legal problems affecting the administration of business enterprises. Focus will be on the law of contracts.

Learning Objectives
By the end of this course, you should be able to:
- Acquire a theoretical base in commercial law, focusing on identifying and solving realistic legal problems that occur in the workplace.
- Undertake an extensive study of the law of contracts, with specific emphasis on the law relating to the formation of contracts, complaints about performance in contracts, obtaining relief from breaches of contract, and collecting payment under contracts.
- Explore issues related to non-contractual liability as you study the law relating to intentional torts such as fraud, conversion of goods, defamation, imitation of business markings, and interference with land use.
- Understand the law of negligence from a business and a professional liability perspective.
- Discuss the legal relationships within the business, review the structures of sole proprietorship, partnership, limited partnership, and corporation, and consider how businesses raise capital in the legal environment.
- Examine business lending and borrowing practices dealing with the granting of security and its enforcement, as well as problems arising from the law respecting negotiable instruments and guarantees.
